The WHIMA leadership annually reviews the WHIMA Bylaws to ensure compliance with AHIMA requirements and Wisconsin regulations and reflects current governance expectations.  In 2022 and 2023, AHIMA made significant changes to the Component Association (CA) Bylaw template and CAs were given until December 31, 2024, to bring their bylaws into alignment with the AHIMA template. This year’s review has resulted in proposed amendments to the WHIMA Bylaws which are included in this email.  The WHIMA Bylaws, including the proposed Bylaw amendments, have been reviewed by the WHIMA legal counsel to ensure compliance with Wisconsin regulations for corporations.

Per the current Bylaw 15.1, voting members must be given 30 days’ notice before the vote on the proposed Bylaw amendments. This e-communication serves as the 30-day notice. The proposed WHIMA Bylaw amendments will be presented to eligible voting members electronically from October 1-15, 2024, for a vote.

AMENDMENTS

15.1 Adoption of Amendments. The power to alter, amend, or repeal the Bylaws of WHIMA, or to adopt new bylaws, is vested in the Professional members of WHIMA. A two-thirds majority of those who cast a vote must vote in favor of the proposed changes to effectuate such action. The votes may be cast by one of two methods as determined by the Board of Directors. The two methods shall be 1) at a meeting of WHIMA members or 2) by electronic vote. A quorum for any voting by the members shall consist of not less than three percent (3%) of the Active Members of WHIMA.

A proposal to amend the Bylaws may be initiated by the Board of Directors, and any Professional Member of WHIMA at any time that is at least thirty (30) days prior to a vote on the proposal. In the absence of such prior notice, the Active Members may still consider a proposal to amend the Bylaws. This can be done when a quorum is present and two-thirds of those eligible to vote according to AHIMA, vote in favor to forego the thirty (30) day notice. If the consideration to forego the 30 day notice is approved, the proposal may be adopted upon the affirmative vote of at least ninety percent (90%) of the votes cast by the eligible voters. Any proposed revisions or amendments of the Bylaws of WHIMA shall be submitted for review and approval to AHIMA prior to adoption, and they shall comply with the provisions governing Component State Associations as provided for in the AHIMA Bylaws and in the AHIMA Policy and Procedure Manual.

Included in this notice are the current WHIMA Bylaws, the proposed WHIMA Bylaws, and an explanation of the proposed bylaw amendments.

Another electronic communication will be sent to all voting members on October 1, 2024, when the polls open.

Please contact WHIMA at whima@whima.org if you have questions regarding this e-communication.
